Acting for the International Finance Corporation, CDC and DEG on the financing of various Kenyan projects including the financing of the Tsavo Power Co. (Kipevu II) - Kenya’s first project financed independent power producer.- Advising Safaricom Limited and The East African Marine Systems Limited (‘TEAMS’)
- in TEAMS’ procurement of private investors by way of subscription for shares and loans to TEAMS.
- Acting for Safaricom Limited in the company’s initial raising of finance amounting to more than 20 billion Shillings and on its subsequent refinancing by way of a bond issue of 12 billion shillings.
- Acting for Vodafone and Safaricom on Safaricom’s bond listed on the Nairobi Stock Exchange for 4 billion shillings by way of Credit Enhanced Medium Term Notes (CEMTN) together with a 25 million Euro loan facility, the largest and first listed in Kenya.
- Advising Kenya Flourspar Company Limited on an investment by Firebird Global Master Fund II, Limited.
- Establishment for the Department for International Development of the U.K. of the “financial sector development trust”.
- Advising African Development Bank on its credit line facility and acquisition of an equity stake in PTA Bank and in Shelter Afrique;
- Acting for DEG on its cross border financing in Tanzania and Kenya of Prime Fuels Ltd.
- Acting for the Lafarge Group in relation to their investment in Bamburi Cement and representing them on the Board of East African Portland Cement Co. Ltd.
- Advising the International Finance Corporation (“IFC”) on their funding of the Photovoltaic Market Transformation Initiative.Corporatising the micro finance businesses of K-Rep, Faulu and Wedco and the subsequent conversion of K-Rep, into Kenya’s first fully licensed micro-finance bank.
- Kenya’s first commercial paper issue by a Nairobi Stock Exchange listed company – Brooke Bond Kenya Limited.
- Commercial Paper and Bond Issues for Mabati Rolling Mills, Unga Group, Nation Media Group and Caltex Oil.
- Acting for CMC Holdings Limited listed on the Nairobi Stock Exchange in relation to the sale of CMC Aviation under the Capital Markets Rules and Regulations.
- Restructuring of the East African Building Society to become EABS Bank.
- Acting for DEG on the project financing of the African Cargo Centre Limited and its subsequent sale to Kenya Airways.
- Advising the Commonwealth Development Corporation on establishment of Aureos Fund and the Actis Fund and various acquisitions and disposals for such funds.
- Numerous large scale bank financings for many Kenya Banks, DFI’s and financial institutions including Kenya Commercial Bank, Barclays Bank, Standard Chartered, Citibank, Stanbic Bank, NIC Bank, CFC Stanbic Bank, Diamond Trust Bank, Commercial Bank of Africa, Ecobank Kenya, Fidelity Commercial Bank, Gulf African Bank and First Community Bank.
- Advising on numerous property developments and the structuring of the same including: Safaricom House, Tamarind Village, Barclays Plaza, Esso Plaza, Williamson House, Lonrho House, Capital Hill Towers, Fehda Towers and Riverside Apartments.
- Advising KPMG acting as consultants for the Kenya Electricity Generation Company
- (KENGEN) on their detailed review of the financial and legal affairs of KENGEN in respect of a 1 Billion Shillings financing project for KENGEN.
- Advising Fidelity Commercial Bank Limited on their successful rights issue.
- Advising IPS on their investment in Botanical Extracts EPZ Limited, a company engaged in the production, extraction and sale of artemisinin, advising on the restructuring of the Group Companies, facilitating the investment in the Company by all shareholders, namely IPS, Industrial Finance Corporation, and the Acumen Fund.
